ROLLIANCE PLATFORM TERMS OF SERVICE

1. Introduction and Acceptance

These Platform Terms of Service ("Terms") govern your access to and use of the Rolliance platform ("Platform"), operated by Highgate Studios LLC, a Massachusetts limited liability company ("Highgate Studios," "we," "us," or "our"). By creating an account or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any additional agreements applicable to your role (Studio Owner Subscription Agreement or Member Terms of Use).

If you do not agree to these Terms, do not access or use the Platform.

2. Definitions

"Platform" means the Rolliance web application, mobile application, and related services accessible at rolliance.com.

"Studio Owner" means an individual or entity that subscribes to Rolliance to manage a martial arts studio.

"Member" means an individual who creates an account on the Platform to participate in a Studio Owner's studio.

"Dependent" means a minor (under 18) whose account is managed by a parent or legal guardian Member.

"Content" means any text, images, comments, reactions, notes, or other material submitted through the Platform.

"Studio" means a martial arts studio or training facility managed through the Platform by a Studio Owner.

3. Eligibility

You must be at least 18 years of age to create an account on the Platform. Individuals under 18 may participate as Dependents under the supervision and account of a parent or legal guardian. The parent or legal guardian is responsible for all activity conducted through a Dependent account.

When a Dependent reaches the age of 18, they may request to convert their Dependent account to an independent Member account.

4. Account Registration and Security

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that contain false or misleading information.

5. Acceptable Use

You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
Harass, abuse, threaten, or intimidate other users.
Post or transmit Content that is defamatory, obscene, fraudulent, or otherwise objectionable.
Attempt to gain unauthorized access to other users' accounts or any part of the Platform's infrastructure.
Use automated means (bots, scrapers, crawlers) to access the Platform without our written consent.
Interfere with or disrupt the integrity or performance of the Platform.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Upload or transmit viruses, malware, or other harmful code.

6. Content

6.1 User Content

You retain ownership of Content you submit to the Platform. By submitting Content, you grant Highgate Studios a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute such Content solely for the purpose of operating and providing the Platform.

6.2 Content Moderation

Studio Owners are responsible for managing and moderating Content within their Studios, including the ability to enable or disable comments and social features, and to delete Content posted by Members. Highgate Studios does not actively monitor User Content but reserves the right to remove Content that violates these Terms.

6.3 Content Visibility

Member Content within a Studio is visible only to other Members of that Studio, Studio Owners, and authorized staff (administrators and instructors). Member data is not shared with other Members. Non-members cannot view Content within a Studio.

7. Intellectual Property

The Platform, including its design, code, features, logos, and documentation, is the property of Highgate Studios LLC and is protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, trade names, or logos without our prior written consent.

8. Third-Party Services

The Platform integrates with third-party services, including Stripe for payment processing. Your use of such services is subject to their respective terms and conditions. Highgate Studios is not responsible for the availability, accuracy, or practices of any third-party services.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HIGHGATE STUDIOS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIGHGATE STUDIOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY.

HIGHGATE STUDIOS' TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO HIGHGATE STUDIOS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Highgate Studios LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Massachusetts. Either party may pursue claims in small claims court if the claim qualifies.

13. Modifications to Terms

We may modify these Terms at any time by posting the updated Terms on the Platform. Material changes will be communicated via email or a prominent notice on the Platform. Your continued use of the Platform after the effective date of any modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform.

14. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, upon notice to you. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including Sections 6, 7, 9, 10, 11, and 12) shall survive.

15. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any applicable additional agreements, constitute the entire agreement between you and Highgate Studios regarding the Platform.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. The failure of Highgate Studios to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
