ROLLIANCE STUDIO OWNER SUBSCRIPTION AGREEMENT

1. Overview
This Studio Owner Subscription Agreement ("Agreement") supplements the Rolliance Platform Terms of Service and governs the relationship between Highgate Studios LLC ("Highgate Studios") and the subscribing studio owner ("Studio Owner," "you"). By subscribing to a Rolliance plan, you agree to this Agreement in addition to the Platform Terms of Service and Privacy Policy.
2. Subscription Plans and Pricing
2.1 Available Plans
Rolliance offers the following subscription tiers, billed on a per-studio basis:
- Core — $99/month per studio
- Growth — $149/month per studio
- Unlimited — $250/month per studio
Features available under each plan are described on the Rolliance pricing page and may be updated from time to time.
2.2 Multi-Studio Billing
Each studio you manage through the Platform requires its own subscription. If you operate multiple studios, each studio will be billed separately at the applicable plan rate.
2.3 Price Changes
We may adjust subscription pricing with at least thirty (30) days' prior written notice. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree to the new pricing, you may cancel your subscription before the new pricing takes effect.
3. Billing and Payment
Subscription fees are billed monthly via Stripe. You authorize Highgate Studios to charge the payment method on file for all applicable fees. Failure to pay may result in suspension or termination of your subscription. All fees are non-refundable except as expressly stated in this Agreement or required by law.
4. Stripe Connect and Member Billing
4.1 Payment Processing
Rolliance uses Stripe Connect to enable Studio Owners to bill Members for memberships, products, and services. The billing relationship for such transactions is between the Studio Owner and the Member. Highgate Studios is not a party to these transactions and is not responsible for disputes, refunds, or chargebacks arising from them.
4.2 Transaction Fees
Rolliance may charge a per-transaction fee on payments processed through Stripe Connect between Studio Owners and Members. Any applicable transaction fees will be disclosed in advance on the Platform and deducted from transaction proceeds before settlement.
4.3 Stripe Terms
Your use of Stripe Connect is subject to the Stripe Connected Account Agreement and Stripe's Terms of Service. You are responsible for compliance with all applicable Stripe terms, including identity verification, payout requirements, and applicable tax obligations.
5. Studio Owner Responsibilities
As a Studio Owner, you agree to:
- Comply with all applicable laws and regulations in connection with operating your studio and billing Members.
- Accurately represent your classes, services, products, and pricing to Members.
- Manage and moderate Content posted within your Studio, including enabling or disabling social features.
- Use Member data solely for legitimate studio management purposes.
- Not sell, share, or disclose Member data to third parties except as necessary to operate your studio or as required by law.
- Maintain the confidentiality of private notes and sensitive Member information.
- Comply with applicable tax laws regarding the sale of products, services, and memberships to Members.
6. Products and Services
Studio Owners may use the Platform to sell physical products (such as uniforms, gear, and merchandise), services, and memberships to Members. Studio Owners are solely responsible for the fulfillment, quality, and legality of any products or services sold, including compliance with consumer protection laws, return policies, and product safety requirements.
7. Data and Member Information
7.1 Data Controller
With respect to Member data within your Studio, you act as the data controller. You are responsible for ensuring that you have a lawful basis for collecting, storing, and processing Member information, including obtaining any necessary consents.
7.2 Member Data Scope
Member data within your Studio is visible to you and your authorized staff (administrators and instructors). Member data is not shared with other Members or other Studios. You may export Member data from the Platform via the dashboard export functionality.
7.3 Private Notes
Studio Owners and authorized staff may create private notes on Member profiles. These notes are not visible to Members and should be used for legitimate operational purposes only.
8. Messaging
The Platform provides messaging capabilities between Studio Owners and Members. You agree to use messaging features only for legitimate studio-related communications and not for unsolicited marketing, spam, or any communications that violate applicable law (including CAN-SPAM, TCPA, or similar regulations).
9. Term, Cancellation, and Data Retention
9.1 Subscription Term
Your subscription begins on the date you subscribe and continues on a month-to-month basis until cancelled by either party.
9.2 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Platform until the end of that period.
9.3 Grace Period
Following cancellation or non-payment, your account enters a thirty (30) day grace period during which you may reactivate your subscription and restore full access to your data.
9.4 Data Retention and Deletion
After the grace period, your Studio data (including Member data, class history, scheduling records, and Content) will be retained in an archived state for twelve (12) months. During this period, you may reactivate your subscription or request a data export by contacting [email protected]. After the twelve (12) month retention period, all Studio data will be permanently deleted and cannot be recovered.
9.5 Early Deletion
You may request immediate deletion of all Studio data at any time by contacting [email protected]. This action is irreversible.
10. Intellectual Property
You retain ownership of all Content, branding, and materials you upload to the Platform. You grant Highgate Studios a limited, non-exclusive license to use such materials solely for the purpose of operating and delivering the Platform to you and your Members.
11. Termination by Highgate Studios
We may suspend or terminate your subscription and access to the Platform if you breach this Agreement or the Platform Terms of Service. In the event of termination for cause, no refund of prepaid fees will be provided. Data retention provisions in Section 9.4 apply upon termination.
